We voted in Nov 2008 to wait and take the attorneys advice on wheter to move forward with the old EIN or start a new one with regards to time. After securing the attorney the Board voted to wait until Jan, the date given to us by the attorney, to move forward with her reccommendations. Any of this could have been added to the Dec agenda but no one ever communicated.
Not cancelling tonights meeting  or uninviting people. There is no need to do that the day of. Once we get through the original agenda from last week, we can talk about all of this mess.

I want to publically apologize NOT for what I said but, for Not Making It Clear what I MEANT.  Emotions were running too high on Tuesday(1/13) meeting. YES, I did say filing New Articles... I DID SPEAK TO THE attorney and confirm what I HAD DONE. However, I did not mean NEW INCORPORATION OR NEW EIN, WE HAVE THE ORIGINAL EIN. We were speaking of amending the original 1996 paperwork. After the December 2008 meeting which was very unproductive except in the opinion of those who ran "your agenda." I spoke to the attorney, again to receive legal counsel giving her two possible scenarios; If the meetings continued as they had during the past 13 months, we would NEVER accomplish anything...

Many 2008 alum BOD(Board of Directors) preferred not to use the original EIN because of the many paperwork issues attached. I understood not wanting to risk possible legal liability or any outstanding tax issues associated with the original EIN. Per the majority of the BOD sentiments you wanted the Original Founding Members to take on that responsibility, to absorb any legal and financial risk. I reached out to the original founding members who WE'RE WILLING to take on the FINANCIAL RESPONSIBILITY MONTHS AGO, BEFORE WE KNEW WHAT THE FINANCIAL OUTCOME WOULD BE.

On Monday January 12, 2009 the attorney provided information that confirmed what I presented in FEB 2008. We had no great FINANCIAL OR LEGAL LIABILITY. We all discovered and received the report of the legal counselor. This is the Entity and EIN I spoke of in the meeting.

I would like to propose another meeting ONLY with the 2008 BOD. WE need a PEACE TREATY meeting to air out any differences. Although, it might appear that you are making a few alum look bad, you are atually making the ENTIRE ASSOCIATION LOOK BAD...

I can shed more light on the situation when we all meet.
